Paramount-Warner Bros. Discovery Antitrust Trial Set for 2027

A federal judge has scheduled a March 2, 2027, trial date for the antitrust dispute concerning Paramount's proposed $111 billion acquisition of Warner Bros. Discovery. U.S. District Judge Araceli Martínez-Olguín set the 12-day trial, a decision that falls between the earlier date sought by Paramount and the later date proposed by the states. This delay represents a setback for Paramount, which had pushed for a swifter resolution.

The antitrust challenge is being brought by a coalition of 12 state attorneys general, led by California's Rob Bonta, along with the Writers Guild of America. They argue that the merger would significantly reduce competition in the film and television industry, potentially leading to higher prices for consumers, fewer choices, and adverse impacts on writers through lower wages and reduced job opportunities. The prolonged timeline means Paramount will incur substantial "ticking fees," amounting to approximately $7 million per day, payable to Warner Bros. Discovery shareholders until the deal closes, potentially exceeding $1 billion by the start of the trial.

Paramount CEO David Ellison has addressed criticism of the potential mega-merger, stating his belief that the antitrust challenge is less about market share and more about concerns regarding his political leanings and future stewardship of CNN, which is owned by Warner Bros. Discovery. Paramount maintains that the merger is lawful, pro-competitive, and necessary to effectively compete with other major streaming entities. The U.S. Department of Justice previously approved the merger, as have various international regulators.
